Part A

Terms of Service

These Terms apply to all users of Carbon, including workspace owners, administrators, invited members, guests, organisations and visitors to Carbon websites and apps.

1. Who we are

Carbon is a work management and team collaboration product operated by Drishti Works / the Carbon team. References to “Carbon”, “we”, “us” or “our” mean the entity operating Carbon and providing the service. References to “you” mean the person or organisation using Carbon.

2. Eligibility and authority

  • You must be legally capable of entering into these Terms and must not be prohibited from using Carbon under applicable law.
  • If you create or administer a workspace for an organisation, you represent that you have authority to do so.
  • You are responsible for ensuring invited users are authorised to access the relevant workspace, tasks, messages and data.
  • Carbon is not intended for children. Do not create an account or submit personal data if you are under 18 unless your organisation and applicable law permit it with appropriate consent.

3. Accounts, workspaces and administrators

  • You are responsible for keeping login credentials secure and for activity under your account.
  • Workspace owners and administrators may control access, invite or remove users, configure workspace settings and view workspace activity as permitted by the product.
  • If your account is created using a company email or added to an organisation workspace, the organisation may have administrative control over that workspace and related content.
  • You must keep account information accurate and notify us if you suspect unauthorised access.

4. Your content and workspace data

You retain ownership of the content you submit to Carbon, such as workspace names, tasks, comments, messages, files, attachments, status updates and related information. You grant Carbon a limited licence to host, process, transmit, display, back up and use that content only as needed to provide, secure, maintain and improve the service.

You are responsible for ensuring that content uploaded or shared through Carbon is lawful, accurate, non-infringing and appropriate for the workspace.

5. Product availability and changes

Carbon may be released as early access, beta, trial, free or paid services. Features may be added, changed, limited, suspended or removed. Android and iOS apps may roll out separately from the web app. We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free or permanent availability.

6. Fees and paid features

Carbon may currently offer free early access. In the future, some features, usage limits, storage, organisations, integrations or support levels may become paid. If paid plans are introduced, pricing, billing terms, taxes, renewals, cancellations and refunds will be provided before purchase.

7. Third-party services

Carbon may integrate with or link to third-party services such as authentication providers, analytics, cloud infrastructure, app stores, payment providers, email providers, file storage or productivity tools. Third-party services are governed by their own terms and privacy policies. Carbon is not responsible for third-party services that we do not control.

8. Suspension and termination

We may suspend, restrict or terminate access if we reasonably believe that you breached these Terms, created security risk, used Carbon unlawfully, infringed rights, harmed other users, failed to pay fees where applicable, or exposed Carbon to legal or operational risk. You may stop using Carbon at any time. Certain provisions will survive termination, including ownership, confidentiality, disclaimers, limitation of liability, indemnity and legal provisions.

9. Disclaimers

Carbon is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, secure, error-free, fit for every business need, or that data will never be lost. You are responsible for maintaining appropriate backups and internal controls for business-critical information.

10. Limitation of liability

To the fullest extent permitted by law, Carbon and its operators will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunity or business interruption. Our total aggregate liability for claims relating to Carbon will not exceed the amount paid by you for Carbon in the three months before the claim, or INR 5,000 if you used Carbon for free, unless applicable law requires otherwise.

11. Indemnity

You agree to indemnify and hold Carbon, its operators, officers, employees and service providers harmless from claims, losses, liabilities, damages, costs and expenses arising from your content, your use of Carbon, your breach of these Terms, unlawful activity, infringement of rights, or misuse by users you invited or administered.

12. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict of law principles. Subject to applicable consumer protection laws, courts in Mumbai, Maharashtra, India will have exclusive jurisdiction over disputes arising from or relating to Carbon.
